# Forge Platform Commercial Licence

This Forge Platform Commercial Licence ("Licence") is a legal agreement between Andrew Eells ("Licensor")
and the entity or individual accessing or using the software ("Licensee").
By downloading, accessing, or using Forge Platform (the "Software"), Licensee agrees to be bound by this Licence.
## 0. Definitions
"Software" means Forge Platform, including all source code, object code, and any modifications and
adaptations of the Software, and any derivative works to the extent they incorporate the Software.
"Distribute" means to provide, transfer, publish, disclose, or otherwise make available the Software to any
third party, including in source or binary form, via download, repository access, container images, or
embedded within another product or service.
"Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common
control with Licensee.
## 1. Licence Grant
Subject to payment of applicable fees and compliance with this Licence, Licensor grants Licensee
a non-exclusive, non-transferable, non-sublicensable licence to:
- Use and run the Software within systems and environments controlled by Licensee or its Affiliates;
- Modify the Software for Licensee’s internal use and operation of Licensee-operated services;
- Deploy and operate the Software as part of Licensee-operated services, including making its functionality
available to end users.
## 2. Restrictions
Licensee must not:
- Distribute the Software, in whole or in part, to any third party, whether as a standalone product or
embedded within another product, service, or deliverable;
- Provide access to the Software (including source code, repositories, or build artifacts) to any third
party, except employees and individual contractors of Licensee or its Affiliates who are bound by
confidentiality obligations and require access solely to operate or develop Licensee’s deployment;
- Sell, sublicense, licence, transfer, or otherwise commercialize the Software itself;
- Offer the Software as a competing platform, framework, or service;
- Publish or release the Software, in whole or in part, under an open source licence;
- Circumvent or attempt to circumvent any licence, billing, or usage controls;
- Remove or obscure any proprietary notices.
## 3. Ownership
The Software is licensed, not sold.
All rights, title, and interest in the Software, including all intellectual property rights, remain with Licensor.
Licensee acquires only the rights expressly granted under this Licence.
## 4. Support and Updates
Licensor has no obligation to provide support, maintenance, updates, or enhancements unless agreed in a separate written agreement.
## 5. Term and Termination
This Licence is effective until terminated.
It will automatically terminate if Licensee breaches any term of this Licence.
Upon termination, Licensee must:
- Cease all use of the Software; and
- Destroy all copies of the Software in its possession or control.
Sections 2, 3, 5, 6, 7, 8, 9, and 10 survive termination.
## 6. Warranty Disclaimer
The Software is provided "as is" and "as available", without warranties of any kind, whether express,
implied, or statutory, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
Licensor does not warrant that the Software will be error-free, secure, or uninterrupted.
## 7. Limitation of Liability
To the maximum extent permitted by law:
- Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages,
including loss of profits, revenue, data, or business opportunities;
- Licensor’s total aggregate liability arising out of or related to this Licence shall not exceed the total
fees paid by Licensee for the Software in the 12 months preceding the claim.
## 8. Feedback
If Licensee provides feedback, suggestions, or improvements regarding the Software, Licensor may use such feedback without restriction or obligation.
## 9. Governing Law
This Licence is governed by the laws of British Columbia, Canada, without regard to conflict of law principles.
## 10. Entire Agreement
This Licence constitutes the entire agreement between the parties regarding the Software and supersedes
all prior or contemporaneous agreements on this subject.
